SUMMARY 
Provides legal support and counsel to the company’s other departments and subsidiaries in operational and corporate matters; represents the company and its subsidiaries in a legal capacity at the direction of the EVP & General Counsel.

ESSENTIAL DUTIES AND RESPONSIBILITIES include the following. Other duties may be assigned at the discretion of the EVP & General Counsel.

Provides legal counsel and support to the following departments and operating units of the Company:
A. the Company’s racing and gaming units on contractual and legal matters such as vendor agreements and all other matters related to the racing and gaming facilities and related properties.
B. the Business Development Department and participates in projects undertaken by that department
C. the Sales and Marketing units of the Company’s racetracks and corporate areas in the administration of corporate and race sponsorships, trademark and licensing matters, simulcasting, and other sales-related matters; and 
D. the Company’s management in operational and corporate matters by providing the necessary legal support to other departments as deemed appropriate or upon request.
E. the Information Technology Department on matters such as the Internet, vendor agreements and other contractual matters.

  • Drafts and reviews contracts and other documentation needed to reflect the company’s business transactions and relationships.
  • Provides legal counsel and support to the Marketing Departments in the administration of their marketing, promotional, advertising, and other sponsorship activities.
  • Investigate complaints, send cease and desist letters, initiate lawsuits, and negotiate settlements. Actively manages the Company’s litigation in order to minimize litigation costs and losses.
  • Provides legal counsel and support on media and telecast matters, such as telecast and broadcast agreements, special film and other telecast projects, and requests for video footage.
  • Performs legal research, as needed, at the direction of the General Counsel.
  • Ensures that all organization activities and operations are carried out in compliance with local, state, and federal regulations and laws governing business operations.

EDUCATION and/or EXPERIENCE 
Jurisprudence degree from an accredited college or university and at least six (6) years of progressive legal experience with a broad corporate background. Knowledge of racing and/or gaming industry helpful. Must also be licensed to practice law in the state of Kentucky or otherwise eligible to obtain a limited certificate of admission to practice law in the Commonwealth of Kentucky solely for the Company under Kentucky Supreme Court Rule 2.111.
